Terms of Service

1. Acceptance of Terms

By accessing or using Klyo, you agree to these Terms. If you do not agree, do not use the service.

2. Eligibility

You must be at least 13 years old and legally capable of agreeing to these Terms. By using Klyo, you represent that you meet these requirements.

3. Description of Service

Klyo provides encrypted audio storage and related authentication features. The service is offered “as is” and “as available,” without warranties of any kind.

4. Account Registration and Security

• You are responsible for maintaining accurate registration information and for safeguarding your authentication methods (SMS codes, passkeys, devices).

• You are solely responsible for all activity on your account.

• You must notify us immediately if you suspect unauthorized access.

5. User Content

5.1 Ownership

You retain ownership of the audio and content you upload to Klyo.

5.2 License to Klyo

To operate the service, you grant Nylon Threads, LLC a limited, worldwide, non-exclusive, fully paid, and revocable license to store and process encrypted versions of your content. This license does not include any right for us to decrypt, access, analyze, or listen to your audio.

5.3 Responsibility for Content

You are fully responsible for all content you upload. You agree not to upload content that is illegal, harmful, threatening, abusive, defamatory, infringing, or otherwise objectionable.

Nylon Threads, LLC reserves the right (but has no obligation) to suspend or terminate accounts associated with prohibited content or misuse.

6. No Access to Audio Content

Klyo stores audio in encrypted form. Nylon Threads, LLC:

• does not have access to the unencrypted audio,

• does not decrypt, analyze, or listen to your recordings, and

• cannot restore audio if you lose access to your encryption keys or devices.

You acknowledge that encrypted content may be permanently inaccessible if you lose your credentials or keys.

7. Prohibited Uses

You agree not to:

1. Interfere with or disrupt Klyo’s systems

2. Use automated tools to access the service without permission

3. Reverse engineer or attempt to derive source code

4. Use Klyo for unlawful, fraudulent, harmful, or abusive purposes

5. Upload malicious code or attempt to breach security controls

Violation may result in immediate termination.

8. Modifications to Service

We may modify, suspend, or discontinue any part of Klyo at any time, with or without notice. We are not liable for any modification or discontinuation.

9. Payments (If Applicable)

If Klyo offers paid features:

• All fees are non-refundable unless required by law.

• We may change pricing at any time.

• Continued use after a price change constitutes acceptance.

10. Termination

We may suspend or terminate your access to Klyo at any time for any reason, including breach of these Terms. Upon termination:

• Your access may cease immediately.

• Encrypted audio may be deleted or made inaccessible.

You may terminate your account at any time by discontinuing use and deleting your data.

11. Disclaimers

Klyo is provided as is and as available without warranties, express or implied. Nylon Threads, LLC disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and security or availability of the service.

We make no guarantees that:

• the service will be uninterrupted or error-free,

• stored data will be preserved, or

• audio can be recovered if you lose your credentials.

12. Limitation of Liability

To the maximum extent permitted by law:

• Nylon Threads, LLC is not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages;

• total liability arising from your use of Klyo will not exceed the greater of (a) the amount you paid in the past 12 months, or (b) $50.

This limitation applies to any theory of liability, whether contract, tort, negligence, strict liability, or otherwise.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nylon Threads, LLC and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• your use of Klyo,

• your content, or

• your violation of these Terms.

14. Third-Party Services

Klyo may integrate with or rely on third-party providers. We are not responsible for third-party services, their content, or their security practices.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state or federal courts located in New York County, New York.

16. Arbitration; Class Action Waiver

To the fullest extent permitted by law, you agree to:

1. Resolve disputes through binding individual arbitration rather than court; and

2. Waive your right to participate in class actions, class arbitrations, or representative proceedings.

If arbitration is found unenforceable, disputes must be resolved in New York courts as specified above.

17. Changes to These Terms

We may update these Terms at any time. If changes are material, we will provide notice via the service or email. Continued use after changes become effective constitutes acceptance.
